Terms of Service
Last updated: [EFFECTIVE_DATE]
DRAFT — pending professional legal review. Not yet in force.
These Terms of Service ("Terms") govern your access to and use of KaijiWatch (the "Service"), operated by [OPERATOR_NAME] ("we", "us"). By accessing the Service or subscribing, you agree to these Terms.
1. What the Service is
KaijiWatch republishes, translates, and summarizes publicly available regulatory filings from Japan's EDINET system (large-shareholding reports, tender offer documents, and related filings) for English-speaking readers. The Service provides factual information only and is not investment advice. See the Disclaimer, which forms part of these Terms.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use the paid Service.
3. Subscriptions, billing, and cancellation
- Paid plans are billed through Stripe. Current pricing is shown at checkout (e.g., USD 39 / month or USD 390 / year).
- Subscriptions renew automatically until cancelled.
- You may cancel at any time through the Stripe customer portal or by contacting [CONTACT_EMAIL]. Cancellation stops the next renewal; access continues until the end of the current paid period.
- You may request a full refund within 14 days of your first payment by contacting [CONTACT_EMAIL]. After that period, because the Service is a digital information service delivered immediately, fees already paid are non-refundable except where required by law. (See the Japanese 特定商取引法に基づく表記 for statutory disclosures.)
4. Acceptable use
You agree not to: resell or redistribute the Service's content in bulk; scrape or systematically extract the Service beyond normal use; misrepresent the Service's output as official translations or as the original filings; or use the Service in violation of applicable law.
5. Accuracy and the original filing
Summaries are AI-generated and provided "as is". Numerical values are mechanically cross-checked, but no warranty of accuracy, completeness, or timeliness is made. The original Japanese filing on EDINET is authoritative and prevails in any discrepancy.
6. Limitation of liability
To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. Nothing in these Terms excludes or limits liability for our intentional misconduct or gross negligence, or any liability that cannot be excluded under applicable consumer protection law, including Japan's Consumer Contract Act. Subject to the foregoing, we are not liable for any indirect, incidental, or consequential damages, or for any trading or investment losses, arising from use of or reliance on the Service; and our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim.
7. Changes
We may modify the Service or these Terms. Material changes will be posted with an updated date. Continued use after changes constitutes acceptance.
8. Termination
We may suspend or terminate access for breach of these Terms or to comply with law.
9. Governing law and jurisdiction
These Terms are governed by the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute, to the extent permitted by law.
